Terms of Service

These Terms of Service ("Terms") are an agreement between you (and, if you are using the Service on behalf of an organisation, that organisation — "you") and Bravent Systems ("we", "us") governing your access to and use of govengine.ai and the GovEngine platform (the "Service"). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
GovEngine lets you design, approve, and run governed AI agents. Access is granted by approval: an account must be approved by an administrator before it can use the Service, and an agent version must be approved by a human before it can run. We may change, suspend, or discontinue any part of the Service, and will give reasonable notice of material changes where we can.
2. Accounts
You must provide accurate registration information, keep your credentials confidential, and are responsible for all activity under your account. Tell us promptly of any unauthorised use. You must be at least 16 years old and legally able to enter into these Terms.
3. Your content
You retain all rights in the agents, prompts, data, and other content you submit ("Your Content"). You grant us a non-exclusive, worldwide licence to host, process, transmit, and display Your Content solely to operate and improve the Service for you and to comply with law. You represent that you have the rights to submit Your Content and that it does not infringe any third-party right.
4. Acceptable use
You may not, and may not permit anyone else to:
- Use the Service in violation of any law, regulation, or export control.
- Build or run agents that generate unlawful, infringing, deceptive, or harmful content, or that target individuals for harassment or surveillance.
- Attempt to circumvent the approval gate, the egress controls, the access controls, or any usage or spend limit.
- Reverse engineer, resell, or copy the Service, or probe, scan, or load-test it without our written permission.
- Upload malware, or interfere with the integrity or performance of the Service.
- Connect a third-party account you are not authorised to connect, or use a connector to access data you are not permitted to access.
We may suspend or terminate access that we reasonably believe breaches this section.
5. Agent output and human responsibility
The Service uses large language models. Output may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing agent designs before approving them, for the actions an approved agent takes on your behalf, and for any decision you make based on its output. The Service is not a substitute for professional, legal, financial, or compliance advice. Do not deploy an agent into a consequential workflow without appropriate human review.
6. Third-party services
Connectors integrate the Service with third parties (for example Google, Slack, Microsoft). Your use of those services is governed by their own terms, and we are not responsible for them. Revoking a connector's authorisation may stop dependent agents from running.
7. Fees
Paid plans are billed as set out in your order or plan description. Fees are non-refundable except where required by law. We may change pricing on notice, effective at your next renewal. You are responsible for applicable taxes. Usage in excess of your plan's limits may be billed or rate-limited.
8. Intellectual property
We and our licensors own the Service, including its software, design, and documentation. No rights are granted except those expressly stated in these Terms. Feedback you send us may be used without restriction or compensation.
9. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service with at least reasonable care, and will use it only as needed to perform under these Terms.
10. Disclaimer of warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, secure, or error-free, or that output will be accurate.
11. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or USD 100 if you use the Service for free. Nothing in these Terms excludes liability that cannot be excluded by law.
12. Indemnity
You will defend and indemnify us against third-party claims arising from Your Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
13. Term and termination
These Terms apply while you use the Service. You may stop at any time. We may suspend or terminate your access for breach, for legal reasons, or on notice if we discontinue the Service. On termination, your right to use the Service ends; sections that by their nature should survive (content ownership, disclaimers, liability, indemnity, governing law) survive. We will make your data available for export for a reasonable period after termination unless prohibited by law.
14. Changes to these Terms
We may update these Terms. We will change the "last updated" date above and, if the change is material, give notice before it takes effect. Continued use after that date means you accept the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction, and each party consents to venue there. Nothing prevents either party from seeking injunctive relief in any competent court.
16. General
These Terms, together with the Privacy Policy, are the entire agreement between us on this subject. If a provision is unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
